INFORMATION CONCERNING THE APPLICATION OF GOOD PRACTICES BY THE COMPANIES QUOTED AT THE WARSAW STOCK EXCHANGE (GPW)
Krakchemia S.A. Board, acting upon § 29 para 3 (§ 29 ust. 3) of the Stock Exchange Regulations, informs that with January 1, 2013, the issuer will not guarantee its shareholders the opportunity of participation in the general assembly using the electronic means of communication, consisting in the coverage of the general meeting in real time and two-way communication in real time where the shareholders could speak out their views during the proceedings of the general meeting from a place other than the venue of the meeting. The issuer, starting with January 1, 2013 onward will not place on its website the recording of the meeting`s proceedings neither in its audio, nor in the video form. This means, the issuer will not apply practice No 10 of part IV, nor the practice number 1 item 9a of part II of Good Practices of Companies quoted at the Warsaw Stock Exchange (GPW).
The underlying reason for the decision is the cost of coverage of the shareholder`s meeting, which would be too high in relation to the potential benefits on the part of investors resulting from the coverage of the meeting. The Company executes its transparent information policy by means of current reports (including monthly reports) and periodical reports, available on the Company website. In relation therewith, the investors have the opportunity to get acquainted with Krakchemia S.A. `s strategy and any events affecting its economic and financial situation.
The issuer maintains other requirements concerning the proceedings of general meetings incorporated in Good Practices of Companies quoted at the Warsaw Stock Exchange (GPW), and also abides by the general legal requirements within this scope – which in the Board`s opinion – enables any interested shareholders to execute their rights.
